1. Acceptance of Terms

and Conditions ("Terms") govern your access to and use of the website
located at https://golp.co (the "Site") and your purchase of products
from Golp Company Pty Ltd ACN 693 327 141, an Australian proprietary limited company
operating in the United States ("GOLP," "we,"
"us," or "our").

1.2 By accessing
the Site or placing an order, you agree to be bound by these Terms and our
Privacy Policy, incorporated herein by reference. If you do not agree, do not
use the Site or purchase our products.

1.3 We reserve
the right to update these Terms at any time. Continued use of the Site after
changes are posted constitutes acceptance.

2. Eligibility

2.1 You must be
at least 18 years of age to purchase from the Site. By placing an order, you
represent and warrant that you are 18 or older.

2.2 The Site is
intended for use by residents of the United States only. We do not ship
internationally.

3. Products
and Descriptions

3.1 We make
reasonable efforts to display products accurately. Colors, packaging, and
product images are illustrative and may vary slightly from the physical
product.

3.2 All products
are dietary supplements. They are not intended to diagnose, treat, cure, or
prevent any disease. These statements have not been evaluated by the Food and
Drug Administration.

3.3 Our products
are not intended to diagnose, treat, cure, or prevent any disease, including
any medical condition or side effect associated with GLP-1 medication use, and
are not a substitute for professional medical advice. If you are taking GLP-1
medications or any prescription medication, consult your healthcare provider
before using our products.

3.4 We reserve
the right to discontinue any product at any time.

4. Orders
and Contract Formation

4.1 Placing an
order constitutes an offer to purchase. A binding contract is formed only upon
our sending you an order confirmation email.

4.2 We reserve
the right to refuse or cancel any order at our discretion, including where
products are mispriced, where we suspect fraud, or where stock is unavailable.
If we cancel an order after payment, we will issue a full refund.

4.3 You are
responsible for ensuring the accuracy of your order details, including shipping
address, before submitting.

5. Pricing
and Payment

5.1 All prices
are listed in US dollars and are inclusive of any applicable taxes unless
otherwise stated.

5.2 We accept
payment via the methods available at checkout, processed through Shopify
Payments. By providing payment information, you represent that you are
authorised to use that payment method.

5.3 If your
payment fails, your order will not be processed. Contact hello@golp.co for
assistance.

6.
Subscriptions and Auto-Renewal

6.1 We offer
subscription options for recurring delivery of products. BY SELECTING A
SUBSCRIPTION, YOU AUTHORISE GOLP TO CHARGE YOUR PAYMENT METHOD ON A RECURRING
BASIS AT THE SELECTED FREQUENCY UNTIL YOU CANCEL.

6.2 Subscription
prices may differ from one-time purchase prices. The price at time of
subscription enrollment will be disclosed at checkout.

6.3 You may
cancel your subscription at any time through your account settings or by
contacting hello@golp.co before your next renewal date. Cancellation takes
effect at the end of the current billing period. No prorated refunds are issued
for the current subscription period.

6.4 We reserve
the right to modify subscription pricing with notice. If we increase your
subscription price, we will notify you before the change takes effect and give
you the opportunity to cancel.

7. Shipping

7.1 We ship to
addresses within the United States only. Estimated delivery times are provided
at checkout and are not guaranteed.

7.2 Title to and
risk of loss of products purchased from us passes to you upon our delivery of
the product to the third-party carrier. GOLP is not responsible for delays,
damage, or loss caused by the carrier once the product has been handed off.

7.3 If your order
is lost or significantly delayed by the carrier, contact hello@golp.co and we
will work with you to resolve the issue.

8. Returns
and Refunds

8.1 We accept
returns only for products that are damaged or faulty upon delivery. We do not
accept change-of-mind returns.

8.2 To request a
return, contact hello@golp.co within 14 days of delivery with your order number
and a description and photograph of the damage or fault.

8.3 If your
return is approved, we will provide a prepaid return label and issue a full
refund to your original payment method within 5-10 business days of receiving
the returned product. No restocking fee applies.

8.4 We reserve
the right to decline a return request if the product shows signs of misuse or
if the claim is made outside the 14-day window.

9. Intellectual Property

9.1 All content
on the Site, including text, graphics, logos, images, and software, is the
property of GOLP or its licensors and is protected by applicable intellectual
property laws.

9.2 You may not
reproduce, distribute, modify, or create derivative works from any Site content
without our prior written consent.

9.3
"golp" and related marks are trademarks of GOLP Company Pty Ltd.
Nothing in these Terms grants you any right to use our trademarks.

10. Prohibited Uses

10.1 You agree
not to use the Site to: violate any applicable law or regulation; infringe the
intellectual property rights of GOLP or any third party; transmit any harmful,
fraudulent, or misleading content; scrape, crawl, or harvest data from the Site
without our written consent; reverse-engineer any software or technology used
on the Site; or engage in any conduct that could damage, disable, or impair the
Site.

11. Disclaimer of Warranties

11.1 THE SITE AND ALL PRODUCTS ARE PROVIDED "AS IS" AND
"AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR
IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY,
FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. GOLP DOES NOT WARRANT
THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER
HARMFUL COMPONENTS.

12. Limitation of Liability

12.1 TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, GOLP'S TOTAL
LIABILITY TO YOU FOR ANY CLAIM ARISING FROM OR RELATING TO THESE TERMS OR YOUR
USE OF THE SITE OR OUR PRODUCTS SHALL NOT EXCEED THE AMOUNT YOU PAID TO GOLP
FOR THE SPECIFIC PRODUCT OR ORDER GIVING RISE TO THE CLAIM.

12.2 IN NO EVENT SHALL GOLP BE LIABLE FOR ANY INDIRECT, INCIDENTAL,
SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, EVEN IF GOLP HAS BEEN ADVISED OF
THE POSSIBILITY OF SUCH DAMAGES.

12.3 Some
jurisdictions do not allow the exclusion or limitation of certain damages. In
such jurisdictions, our liability is limited to the fullest extent permitted by
law.

13.Indemnification

13.1 You agree to
indemnify, defend, and hold harmless GOLP, its officers, directors, employees,
and agents from and against any claims, liabilities, damages, judgments,
awards, losses, costs, and expenses (including reasonable legal fees) arising
from your use of the Site, your violation of these Terms, or your violation of
any third-party rights.

14. Dispute
Resolution and Binding Arbitration

14.1 Informal
Resolution. Before initiating arbitration, the party seeking relief must
provide written notice to the other party describing the dispute and desired
resolution. The parties will attempt to resolve the dispute informally for 30
days.

14.2 BINDING ARBITRATION. IF THE PARTIES CANNOT RESOLVE A DISPUTE
INFORMALLY, THE DISPUTE WILL BE RESOLVED BY BINDING ARBITRATION RATHER THAN IN
COURT, EXCEPT AS SET FORTH IN SECTION 14.5. YOU AND GOLP ARE EACH WAIVING THE
RIGHT TO A TRIAL BY JURY.

14.3 Arbitration
will be administered by the American Arbitration Association (AAA) under its
Consumer Arbitration Rules, as modified by these Terms. The arbitration will be
conducted in English. The arbitrator's award will be final and binding and may
be entered as a judgment in any court of competent jurisdiction.

14.4 CLASS ACTION WAIVER. YOU AND GOLP AGREE THAT EACH MAY BRING
CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A
PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR
REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE
PERSON'S CLAIMS.

14.5 This
arbitration agreement is governed by the Federal Arbitration Act. If any part
of this Section 14 is found unenforceable, the remainder will remain in full
force, except that if the Class Action Waiver in Section 14.4 is found
unenforceable as to a particular claim, that claim must proceed in court.

14.6 Small Claims
Carve-Out. Either party may bring an individual claim in small claims court in
lieu of arbitration, provided the claim qualifies for small claims jurisdiction
and remains in that court on an individual basis only.

14.7 Opt-Out. You
may opt out of this arbitration agreement by sending written notice to GOLP
Company Pty Ltd, 2810 N Church St STE 88614, Wilmington, DE 19802 /
hello@golp.co within 30 days of first accepting these Terms. If you opt out,
neither you nor GOLP will be required to arbitrate disputes under this Section
14.

15.
Governing Law and Jurisdiction

15.1 These Terms,
and any dispute not subject to arbitration under Section 14, are governed by
the laws of the State of Delaware, United States, without regard to its
conflict of laws principles, notwithstanding that GOLP is incorporated in
Australia.

15.2 For any
dispute not subject to arbitration, you and GOLP agree to submit to the
exclusive personal jurisdiction of the state and federal courts located in
Delaware.

15.3 Nothing in
these Terms is intended to waive any consumer protection right under the law of
your state of residence that cannot be waived as a matter of law, or any
consumer guarantee under the Australian Consumer Law that cannot lawfully be
excluded.

16. Privacy

16.1 Our
collection and use of your personal information is described in our Privacy
Policy, available at https://golp.co/privacy, which is incorporated into these
Terms by reference.

16.2 Depending on
your state of residence, you may have additional rights regarding your personal
information, including under the California Consumer Privacy Act (CCPA) and
similar state privacy laws. These rights are described in our Privacy Policy.

17. General
Provisions

17.1 Entire
Agreement. These Terms and our Privacy Policy constitute the entire agreement
between you and GOLP regarding the subject matter herein and supersede all
prior agreements and understandings.

17.2
Severability. If any provision of these Terms is found invalid or
unenforceable, that provision will be modified to the minimum extent necessary
to make it enforceable, and the remaining provisions will continue in full
force.

17.3 Waiver. Our
failure to enforce any provision of these Terms will not constitute a waiver of
our right to enforce it in the future.

17.4 Assignment.
You may not assign your rights or obligations under these Terms without our
prior written consent. We may assign our rights and obligations freely.

17.5 Third-Party
Links. The Site may contain links to third-party websites. GOLP does not
control and is not responsible for the content or practices of any third-party
website.

18. Reviews,
Testimonials, and Results

18.1 Customer
reviews and testimonials shared on the Site or in our marketing reflect
individual experiences. Results described are not typical and are not a
guarantee that you will achieve the same or similar outcome.

18.2 By
submitting a review or testimonial, you confirm that it reflects your honest,
personal experience with our products. You agree not to submit false,
misleading, or incentivised reviews.

18.3 golp
products are dietary supplements. Any results described in reviews or
testimonials have not been evaluated by the Food and Drug Administration. Our
products are not intended to diagnose, treat, cure, or prevent any disease.

18.4 Where
reviews or testimonials are sourced from individuals who received complimentary
product, this relationship will be disclosed in accordance with FTC guidelines.
